Official Rules for the HOFr Challenge

HOFR RULES (EDITED AS OF 2/1/20)

NO PURCHASE IS NECESSARY TO PLAY OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING. THE CONTEST IS VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION, OR OTHER REQUIREMENTS WOULD BE REQUIRED BUT HAVE NOT BEEN MET, OR WHERE THE METHODS OF ENTRY SET FORTH BELOW WOULD BE DEEMED CONSIDERATION. U.S. FEDERAL, STATE AND LOCAL LAWS AS APPLICABLE IN EACH JURISDICTION GOVERN THE CHALLENGES.

HOFr Challenges (each a “Challenge”, and collectively the “Challenges”) include Live Challenges and Daily Challenges. Challenges are sponsored by Timeline.com, Inc. (the “Sponsor”).

Each HOFr Live Challenge (each a “Live Challenge”, and collectively the “Live Challenges”) begins at the time (for each Live Challenge, the “Live Challenge Start Time”) and on the date (for each Live Challenge, the “Live Challenge Start Date”) specified either on the home screen or on the schedule screen of the HOFr mobile application available on iOS products and Android-based products (the “App”) and ends at the time and on the date (for each Live Challenge, the “Live Challenge End Date”, and such period, the “Live Challenge Period”) at which the event or events covered by the Live Challenge end. Each Live Challenge will be announced at least fifteen (15) minutes prior to the applicable Live Challenge Start Time.

Each HOFr Daily Challenge (each a “Daily Challenge”, and collectively the “Daily Challenges”) begins at the time (for each Daily Challenge, the “Daily Challenge Start Time”) and on the date (for each Daily Challenge, the “Daily Challenge Start Date”) specified either on the home screen or on the schedule screen of the App and ends at the time and on the date (for each Daily Challenge, the “Daily Challenge End Date”, and such period, the “Daily Challenge Period”) at which the event or events covered by the Daily Challenge end. Each Daily Challenge will be announced at least fifteen (15) minutes prior to the applicable Daily Challenge Start Time.

  1. Eligibility. Subject to these Official Rules, each Challenge is open to individual persons who are eighteen (18) years old, or the age of majority in their jurisdiction, whichever is older, as of the applicable Live Challenge Start Date or Daily Challenge Start Date, and who have downloaded the App and provided, and verified (if applicable), certain information requested by Sponsor, which may include personal information such as a mobile telephone number. Commercial enterprises and business entities are not eligible. Certain Challenges are only open to residents of specific countries. Employees, independent contractors, officers and directors of (i) Sponsor or its parent or affiliated companies, or (ii) any entity directly connected with the development, implementation or marketing of the Challenges, and the immediate family (spouse, parents, siblings and children) or household members of each such employee are not eligible to win prizes. The Challenges are subject to all applicable federal, state and local laws and regulations. Any person that enters into a Challenge that he/she is not eligible to enter may not win a prize in that Challenge. Sponsor reserves the right to verify an entrant’s eligibility before, during, or after each Challenge.
  2. Notice to all international entrants: As stated above, it is your responsibility to comply with the contest laws of your country/jurisdiction. You acknowledge that certain countries/jurisdictions have laws regarding Challenges that may prevent Sponsor from awarding you your prize. If you are a winner and this happens to be the case with your country/jurisdiction, you acknowledge that you may not be able to receive any prize at all from the Sponsor. By participating in a Challenge, you acknowledge the risks, and understand that you may win, but not be able to receive a prize.
  3. Acceptance of Official Rules: By participating, you agree to be fully and unconditionally bound by these Official Rules (the “Rules”) and the Sponsor’s Terms of Service located at https://hofrsports.com/terms (the “Terms of Service”), and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of the Sponsor, as final and binding as it relates to the Challenges. ANY VIOLATION OF THESE RULES OR THE TERMS OF SERVICE BY ANY ENTRANT WILL RESULT IN DISQUALIFICATION, AND ALL PRIVILEGES (INCLUDING THOSE AS WINNER, IF APPLICABLE) WILL BE IMMEDIATELY TERMINATED. In the event of any conflict between any term or condition in these Rules and any term or condition in the Terms of Service, the applicable term or condition in these Rules shall apply.
  4. The App
    1. Download the App. To participate in a Challenge, you must download the App and provide, and verify (if applicable), certain information requested by Sponsor, which may include personal information such as a mobile telephone number, email address, name, birth date, gender, country of residence and/or other information about you (collectively “User Information”). The App is made available free of charge. For instructions on downloading the App, visit https://hofrsports.com. Once you have downloaded the App and provided and verified (if applicable) the User Information, you will then be able to access and participate in the Challenges through your account.
    2. Promotional Email. We may request your email address and affirmative consent in order to provide promotional emails, surveys, or offers. If, and when, we provide the option of receiving promotional emails, surveys, or offers, such emails will be completely optional. You are not required to answer questions or to give consent to receive such emails or offers in order to be eligible to play in or win a Challenge. Even if you consent, you may subsequently opt-out of receiving such emails by following the procedures described at the time the emails were offered to you, and which will also be made available on the App.
  5. How to Enter. Challenges will be announced through the App, with each Challenge being announced at least fifteen (15) minutes prior to the applicable Live Challenge Start Time or Daily Challenge Start Time.
    1. Participate in a Live Challenge by completing each of the following steps.


      (i) Enter. Enter a Live Challenge by accessing the App prior to the applicable Live Challenge Start Time and, if prompted, tapping on the applicable Live Challenge prior to the applicable Live Challenge Start Time.

      (ii) Play. At the Live Challenge Start Time, a live show will begin, lasting approximately twenty (20) minutes. During the live show, you will be presented with a series of questions and potential answers. For each question in a Live Challenge, you will be cued (by the host of the live show, as well as by the question in the App) to select what you think the answer will be within a set amount of time. The amount of time you will have to answer each question may vary. In order to validly select and submit your answer for a question, you must lock in your selected answer for each question before the end of the applicable time period for that specific question. You are not required to select an answer for every question in a Live Challenge in order to be eligible for a prize, but you will not receive any points for any unanswered questions.

    2. Participate in a Daily Challenge by completing each of the following steps.


      (i). Enter. Enter a Daily Challenge by accessing the App after the applicable Daily Challenge Start Time and tapping on the applicable Daily Challenge link.

      (ii) Play. When the Daily Challenge is accessed, a pre-recorded animation will begin, lasting approximately five (5) minutes. During the animation, you will be presented with a series of questions and potential answers. For each question in a Daily Challenge, you will be cued by the question in the App to select what you think the answer will be within a set amount of time. The amount of time you will have to answer each question may vary. In order to validly select and submit your answer for a question, you must lock in your selected answer for each question before the end of the applicable time period for that specific question. You are not required to select an answer for every question in a Daily Challenge in order to be eligible for a prize, but you will not receive any points for any unanswered questions.

  6. Terms of Entry.
    1. One Entry Per Challenge. There is a limit of one (1) entry per Live Challenge per person (regardless of the number of devices the App has been downloaded on), and one (1) entry per Daily Challenge per person (regardless of the number of devices the App has been downloaded on).
    2. Void Entries. Use of any automated system (e.g., robots, automatic, macro, programmed or like entry methods) is prohibited. Any attempt by any entrant to use an automated system or to obtain more than one (1) entry by using multiple/different telephone numbers, devices, identities or any other methods, will void all of that entrant’s entries, and render that person ineligible to receive any of the prizes. Entry materials/data that have been tampered with or altered are void.
    3. Change of Mobile Telephone Number. In the event you change or deactivate your mobile telephone number, access to your account will be revoked. In order to reactivate your account, or avoid deactivation of your account, you should contact Sponsor’s support team at support@hofrsports.com.
    4. Disputes. In the event of a dispute regarding the identity of an entrant, the authorized account holder at the time of entry will be deemed to be the entrant. Winners may be required to show proof of identification and/or proof that his/her identification matches the User Information associated with the winning entry (both at the time of entry and at the time of verification of a winner). SPONSOR RESERVES THE RIGHT TO DISQUALIFY ANY ENTRANT IF IT DETERMINES, IN ITS SOLE DISCRETION, THAT ANY USER INFORMATION WAS CHANGED OR FALSIFIED IN ORDER TO MEET ELIGIBILITY REQUIREMENTS.
    5. Other Policies: By downloading the App or accessing a Challenge, you agree that any information provided by you or collected by Sponsor may be used by Sponsor in accordance with Sponsor’s Privacy Policy located at https://hofrsports.com/privacy and the Terms of Service located at https://hofrsports.com/terms.
  7. Live Challenge Prizes.

    For each Live Challenge, the number of winners, and the prize(s) (as defined in Exhibit A) will be set forth in the App on the home screen prior to the beginning of the Live Challenge Start Time. The odds of winning depend on the number of eligible entries received for each Live Challenge. Within seven (7) days of the end of the applicable Live Challenge Period, the prize(s) for that Live Challenge will be awarded to the winners in the App’s settings where the winner’s prize balance will be incrementally increased by the prize amount won by such winner. TO RECEIVE YOUR ACCRUED PRIZE WINNINGS, YOU MUST WITHDRAW THE PRIZE(S) BY FOLLOWING THE INSTRUCTIONS WITHIN THE APP AND PROVIDING YOUR PAYPAL EMAIL ADDRESS TO SPONSOR AND ANY OTHER INFORMATION REASONABLY REQUIRED BY SPONSOR IN ORDER TO ADMINISTER THE APPLICABLE LIVE CHALLENGE OR COMPLY WITH APPLICABLE LAWS. Your use of PayPal to withdraw your prize(s) will be subject to the terms, conditions and privacy policy of PayPal, located at https://www.paypal.com/us/home. If a winner cannot be verified pursuant to Section 8 below or is ineligible, then such winner will be deemed to have forfeited the prize. Upon forfeiture, Sponsor may, at its option and in its sole discretion, subject to applicable law, award the prize to another entrant. Prizes must be claimed in full. No assignment or transfer of prizes is permitted. No prize substitution permitted except at Sponsor’s discretion. In order to receive a prize, winners may be required to provide proof of identification. Any and all prize related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the winners. Any winners of any prize with a value of $600 or greater, or any winners of multiple prizes totaling $600 or greater during any given calendar year, who are U.S. residents will be issued a Form 1099-MISC U.S. Tax Form.

  8. Daily Challenge Prizes. For each Daily Challenge, the number of winners, and the prize(s) will be set forth in the App on the home screen prior to the beginning of the Daily Challenge Start Time. The odds of winning depend on the number of eligible entries received for each Daily Challenge. Within seven (7) days of the end of the applicable Daily Challenge Period, the prize(s) for that Daily Challenge will be awarded to the winner(s) either in the App’s settings where the winner’s cash prize balance will be incrementally increased by the cash prize amount won by such winner, or viewable on the App’s home screen and Wild Card screen, where the winners’ Wild Card balances will be incrementally increased by one (1) or more Wild Cards. TO RECEIVE YOUR ACCRUED CASH PRIZE WINNINGS, YOU MUST WITHDRAW THE PRIZE(S) BY FOLLOWING THE INSTRUCTIONS WITHIN THE APP AND PROVIDING YOUR PAYPAL EMAIL ADDRESS TO SPONSOR AND ANY OTHER INFORMATION REASONABLY REQUIRED BY SPONSOR IN ORDER TO ADMINISTER THE APPLICABLE LIVE CHALLENGE OR COMPLY WITH APPLICABLE LAWS. Your use of PayPal to withdraw your prize(s) will be subject to the terms, conditions and privacy policy of PayPal, located at https://www.paypal.com/us/home. If a winner cannot be verified pursuant to Section 8 below or is ineligible, then such winner will be deemed to have forfeited the prize.   9. Jackpot Prizes. For each Live Challenge that offers a Jackpot Prize, the Jackpot Prize will be set forth in the App on the home screen and the modal that entrants see when entering a Live Challenge.
  10. Promotion. Winners agree to use of winner’s name, likeness, and/or prize and entry information by the Sponsor in any medium for purposes of advertising and trade without further compensation, unless prohibited by law. Where lawful, winner may be required to sign and return a Publicity Consent and Liability Release.
  11. Fantasy Scoring. When a Challenge includes a question(s) that refers to fantasy scores earned by participants in the applicable sporting event(s), Sponsor shall determine the applicable athlete scores and the correct answer to that question using the fantasy scoring system(s) set forth in Exhibit C. Assignment of points to entrants of such a Challenge and the determination of the winner(s) of such a Challenge shall be carried out in accordance with the scoring specifications set forth in Exhibit A (for Live Challenges) and Exhibit B (for Daily Challenges).
  12. Live Challenge Winner Selection. Points will be assigned to entrants of a Live Challenge in accordance with the scoring specifications set forth in Exhibit A. Throughout each Live Challenge, the Sponsor will update the total points awarded to each entrant as the number of points available for a question and the correct answer to such question becomes known during the applicable Live Challenge. Winner(s) of the Live Challenge will be determined at the end of the Live Challenge Period. For each Live Challenge, Sponsor will determine and set forth in the App the number of top cumulative point rankings (the “Winner Spots”) that shall receive a proportion of the prize. For avoidance of doubt, and as an example, the Sponsor may specify for a specific Live Challenge that the entrants with the top five (5) cumulative point rankings shall receive a proportion of the prize(s). The person with the highest total cumulative points will be deemed to hold the first Winner Spot, or Winner Spot #1. For each Live Challenge, the entrants who finish in the Winner Spots for that applicable Live Challenge, as determined by the assignment of points in accordance with Exhibit A, will receive their respective proportion of the prize(s) for that Live Challenge in the manner set forth in Exhibit A. If multiple entrants have the same cumulative point total (a “Tie”) then such entrants will each be assigned the next available Winner Spots (in no particular order) and the next available subsequent Winner Spot after the Tie will be the Winner Spot equal to the sum of (i) the first Winner Spot at which the Tie occurred and (ii) the number of entrants who Tied (e.g. if three (3) entrants tie for Winner Spot #2 then the next available Winner Spot would be Winner Spot #5 (=2+3)), except that if there is a Tie for the last available Winner Spot then the entrants shall each be deemed to hold the last available Winner Spot. For avoidance of doubt, and as an example, if prizes will be awarded to the entrants who finish in the top five (5) cumulative point rankings for a specific Live Challenge, then there may be more than five (5) winners for that Live Challenge if multiple entrants fall into any of the five (5) top cumulative point rankings (e.g. the five (5) highest cumulative point rankings in a Live Challenge are: (1) Entrant A and Entrant B each with 1,000 points who will hold Winner Spots #1 and #2; (2) Entrant C with 800 points who will hold Winner Spot #3; and (3) Entrant D, Entrant E and Entrant F each with 300 points will each hold Winner Spots #4 and #5, with two of them holding Winner Spot #5). Winners (subject to verification pursuant to Section 8 below) will be notified through the App within seven (7) days of the end of the applicable Live Challenge Period.
  13. Daily Challenge Winner Selection. Points will be assigned to entrants of a Daily Challenge in accordance with the scoring specifications set forth in Exhibit B. Throughout each Daily Challenge, the Sponsor will update the total points awarded to each entrant as the number of points available for a question and the correct answer to such question becomes known during the applicable Daily Challenge. Winner(s) of the Daily Challenge will be determined at the end of the Daily Challenge Period. For each Daily Challenge, Sponsor will determine and set forth in the App the number of top cumulative point rankings (the “Winner Spots”) that shall receive a prize. For avoidance of doubt, and as an example, the Sponsor may specify for a specific Daily Challenge that the entrants with the top five (5) cumulative point rankings shall receive a prize. The person with the highest total cumulative points will be deemed to hold the first Winner Spot, or Winner Spot #1. For each Daily Challenge, the entrants who finish in the Winner Spots for that applicable Daily Challenge, as determined by the assignment of points in accordance with Exhibit B, will receive a prize for that Daily Challenge in the manner set forth in Exhibit B. If multiple entrants have the same cumulative point total (a “Tie”) then such entrants will each be assigned the next available Winner Spots (in no particular order) and the next available subsequent Winner Spot after the Tie will be the Winner Spot equal to the sum of (i) the first Winner Spot at which the Tie occurred and (ii) the number of entrants who Tied (e.g. if three (3) entrants tie for Winner Spot #2 then the next available Winner Spot would be Winner Spot #5 (=2+3)), except that if there is a Tie for the last available Winner Spot then the entrants shall each be deemed to hold the last available Winner Spot. For avoidance of doubt, and as an example, if prizes will be awarded to the entrants who finish in the top five (5) cumulative point rankings for a specific Daily Challenge, then there may be more than five (5) winners for that Daily Challenge if multiple entrants fall into any of the five (5) top cumulative point rankings (e.g. the five (5) highest cumulative point rankings in a Daily Challenge are: (1) Entrant A and Entrant B each with 1,000 points who will hold Winner Spots #1 and #2; (2) Entrant C with 800 points who will hold Winner Spot #3; and (3) Entrant D, Entrant E and Entrant F each with 300 points will each hold Winner Spots #4 and #5, with two of them holding Winner Spot #5). Winners (subject to verification pursuant to Section 8 below) will be notified through the App within seven (7) days of the end of the applicable Daily Challenge Period.
  14. Winners.
    1. Notification. ALL ENTRANTS MUST VISIT THE APP IN ORDER TO CONFIRM IF THEY ARE A WINNER. A Live Challenge winner’s account balance within the App’s settings screen will be incrementally increased by the respective portion of the prize(s) won by such winner for a specific Live Challenge. A Daily Challenge winner’s account balance within the App’s settings screen will be incrementally increased by the respective portion of the prize(s) won by such winner for a specific Daily Challenge if the Daily Challenge offers cash prizes. The Wild Card balance on the App’s home screen and Wild Card screen will be incrementally increased by the prize won by such winner for a specific Daily Challenge if the Daily Challenge offers Wild Card prizes. In addition, all winners for a specific Challenge will be set forth on the leaderboard for that Challenge at the end of the applicable Daily Challenge Period or Live Challenge Period. The leaderboard for each Challenge that you participate in will be available in the App. Winner notifications may also be delivered as in-App alerts on the leaderboard for the applicable Live Challenge, and/or by push notification for the Daily Challenge and Live Challenge, if the entrant has enabled push notifications. The Sponsor is not responsible for and shall not be liable for late, lost, misdirected or unsuccessful efforts to notify winners.
  15. Conditions.
    1. Release of Liability. By participating in a Challenge, entrants hereby release, discharge and hold harmless the Released Entities (as defined below), and all others associated with the development and execution of the Challenges, from any and all losses, damages, rights, claims and actions of any kind arising out of or relating to the Challenges, participation in the Challenges, any prize, or any portion thereof that may have been awarded, and/or acceptance, possession, use or misuse of any prize, or any portion thereof that may have been awarded, including but not limited to statutory and common law claims for misappropriation or a entrant’s right of publicity. THE CHALLENGES ARE PROVIDED “AS IS” AND SPONSOR DOES NOT MAKE ANY, AND HEREBY DISCLAIMS ANY AND ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE CHALLENGES. NOTWITHSTANDING ANYTHING ELSE HEREIN OR OTHERWISE, SPONSOR SHALL NOT BE LIABLE OR OBLIGATED WITH RESPECT TO ANY SUBJECT MATTER OF THESE RULES OR UNDER CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR (A) ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF REVENUE, GOODWILL, OR ANTICIPATED PROFITS) (B) AMOUNTS IN EXCESS OF THE PRIZE FOR THE APPLICABLE CHALLENGE, (C) DATA LOSS OR COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, AND/OR (D) ANY MATTER BEYOND SUCH PARTIES’ REASONABLE CONTROL.
    2. Conduct. Sponsor reserves the right in its sole discretion to disqualify any individual who tampers with the entry process, violates these Rules, or acts in a disruptive or unsportsmanlike manner. Without limiting the foregoing, Sponsor may lock out an entrant who, in Sponsor’s sole judgment, has been disqualified, has questionable eligibility or is otherwise ineligible to enter. CAUTION: A PERSON WHO ATTEMPTS DELIBERATELY TO UNDERMINE THE LEGITIMATE OPERATION OF THIS CHALLENGE OR TO ALTER OR DAMAGE A WEBSITE MAY BE SUBJECT TO CIVIL AND/OR CRIMINAL PENALTIES AND FINES; AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
    3. Incidents. Without limiting the foregoing, Sponsor may modify, cancel, terminate, and/or suspend a Challenge if, in the Sponsor’s sole opinion, an incident of any kind occurs to corrupt or impair the administration, security, integrity, fairness or play (as intended) of a Challenge, including without limitation: (a) viruses, bugs, unauthorized human intervention, fraud or technical failure; or (b) earthquake, flood, fire, storm or other natural disaster, act of God; or (c) labor controversy or threat thereof, civil disturbance or commotion, disruption of the public markets, war or armed conflict (whether or not officially declared).
    4. Cancellation. In the event of a cancellation or termination pursuant to Section 9(c) hereof, prizes may be awarded in any manner deemed fair and appropriate by Sponsor.
    5. Gambling Prohibition. The Challenges are strictly for entertainment purposes and may not be used in connection with any form of gambling. The Challenges are not to be considered a contest subject to odds or any type of random selection of winners.
  16. Limitations of Liability:
    1. Entry Errors. Sponsor, NFL (as defined below), Football Organizations (as defined below), Sports Organizations (as defined below), Entertainment Organizations (as defined below), Apple Inc., Google, Inc., PayPal, Inc. and their respective agents, directors, officers, shareholders, employees, insurers, servants, parents, subsidiaries, divisions, affiliates, predecessors, successors, representatives, advertising, promotion and fulfillment agencies and legal advisors (collectively, the “Released Entities”) are not responsible for, shall not be liable for and hereby disclaim all liability arising from or relating to: (i) late, lost, stolen, delayed, damaged, misdirected, stolen, invalid, misaddressed, incomplete or unintelligible entries; (ii) unavailability of or interruptions to any service or equipment used in connection with the Challenges, including without limitation (A) interruptions to any network, server, Internet, website, telephone, satellite, computer or other connections, (B) failures of any telephone, satellite, hardware, software or other equipment, (C) garbled, misdirected or jumbled transmissions, or traffic congestion, (D) other errors of any kind, whether human, technical, mechanical or electronic; (iii) any condition caused by events beyond the control of the applicable Released Entity; (iv) any injuries, losses or damages of any kind arising in connection with or as a result of any of the prizes, or acceptance, possession or use of any of the prizes, or from participation in the Challenges; (v) the incorrect or inaccurate capture of entry or other information or the failure to capture any such information; or (vi) any printing or typographical errors in any materials associated with the Challenges.
    2. Exhibit A

Scoring Specifications for Live Challenges

During the applicable Live Challenge Period, points shall be assigned to entrants as follows:

  1. Number of Points Available Per Question:The number of points available per question will depend on the number of entrants who answer the applicable question within the set amount of time for such a question. The number of points available per question will be equal to the number of entrants in the applicable Live Challenge who answered each question multiplied by 50 and rounded up to the nearest multiple of 1,000. For avoidance of doubt, and as an example, if there is one question in a Live Challenge and there are 1,070 entrants who answer this question, then the points available for this question will be equal to 1,070 multiplied by 50 rounded up to the nearest multiple of 1,000, which is 54,000 points (=(1,070*50) rounded up to the nearest multiple of 1,000 = 54,000).
  2. Points upon Resolution of Question: For each question in an applicable Live Challenge, the points will be split amongst all of the entrants who selected the correct answer. For avoidance of doubt, and as a continuation of the example set forth in paragraph 1 of this Exhibit A, if 500 entrants selected the right answer to the question then the 54,000 points available will be split equally amongst the entrants selecting the right answer such that each such entrant will be awarded 108 points for that question.
  3. Wild Card Points: Located in the App is your personal invite code (“Code”) which you can use to obtain Wild Cards (as defined below). A “Wild Card” is an award that you can activate in a Live Challenge to guarantee that you are awarded points for one (1) question in a Live Challenge.
    1. How to obtain a Wild Card: To obtain a Wild Card (i) using your Code, (A) you must give your Code to someone who has not yet activated an account with the Sponsor (“New User”), (B) such New User must provide your Code when prompted in connection with creating their account and providing the required User Information, and (C) such New User must participate in at least one Live Challenge; or (ii) using someone else’s Code (“Existing User”), (A) you must provide the Existing User’s Code when prompted in connection with creating your account and providing the required User Information and (B) you must participate in at least one Live Challenge; or (iii) by means of a purchase, you must purchase a Wild Card though the Apple Store or Google Play Store; or (iv) by means of a Daily Challenge, you must compete in a Daily Challenge and finish in one of the Winner Spots, as described in Exhibit B. Sponsor may also grant a user a Wild Card at the Sponsor’s sole discretion.. You may obtain an unlimited number of Wild Cards via the method set forth in Sections 3(a)(i), 3(a)(iii), and 3(a)(iv) of this Exhibit A. You may obtain one (1) Wild Card via the method set forth in Section 3(a)(ii) of this Exhibit A, provided that you shall not be entitled to a Wild Card under Section 3(a)(ii) of this Exhibit A if you already created an account without inputting an Existing User’s Code.
    2. How to use a Wild Card: In any given Live Challenge, You may only use one (1) Wild Card per question and per Live Challenge. If you have Wild Cards available and if you have not yet used a Wild Card in a given Live Challenge, you will be asked/prompted to apply, or will otherwise have the option of applying, a Wild Card for each question in a given Live Challenge. In order to use the Wild Card you must still select an answer for the question in which you would like to apply the Wild Card. Once you have used a Wild Card, regardless of whether you get the answer right prior to applying the Wild Card, then such Wild Card will deemed to have been used. Each Wild Card may only be used one time. You will have a predetermined amount of time from the date that you obtain a Wild Card (the “Pass Period”) to use such Wild Card in a Live Challenge. The Pass Period is set by the Sponsor and varies based on how the Wild Card is obtained. The Pass Period for each Wild Card can be found in the Wild Cards screen. You will forfeit the use of any Wild Card that you do not use during such Wild Card’s Pass Period.
    3. What happens if You use a Wild Card: If you use a Wild Card on a question and (i) you did not select the correct answer, then the Wild Card will apply and you will be guaranteed the number of points that are awarded to the entrants who selected the right answer; or (ii) you had in fact selected the correct answer, then the Wild Card will not be applied but you will still be deemed to have used such Wild Card.
  4. Fractional Points:There will not be any fractional points. Fractional points will be rounded down to the nearest whole number.
  5. Cumulative Points: As the number of points available for a question and answers to questions become known, points will be awarded and simultaneously added to a cumulative total for all questions that have been answered as of that point in time.
  6. Point Rankings: Each entrant will be ranked based on the cumulative points earned by such entrant during the applicable Live Challenge. Entrants who have scored within the Winner Spots for that applicable Live Challenge will receive a proportion of the prize.
  7. Determination of Prize Amount:
    1. Cash Prizes – For each Live Challenge that offers a “Jackpot Prize”, the “Jackpot Prize” will be awarded to any entrant who answers all questions in a Live Challenge correctly. If there are multiple entrants who qualify for a Jackpot Prize, then the Jackpot Prize will be shared equally among those entrants. For each Live Challenge, a certain amount of the prize pool for that Live Challenge (the “Kicker”) will be reserved and awarded to the first Winner Spot, and the non-Kicker portion of the prize will be split proportionally amongst all Winner Spots. If there is a tie for the cumulative point total comprising Winner Spot #1 then the Kicker shall be split equally amongst the tying entrants. Each entrant who holds a Winner Spot will receive an amount of the non-Kicker portion of the prize that is proportional to his or her share of the total number of points earned by the entrants in the Winner Spots. For avoidance of doubt, and as an example, if the prize is $1,000 with a $200 Kicker, the top five (5) cumulative point rankings constitute the Winner Spots, and the Winner Spots at the end of the Live Challenge Period are held by the following entrants:

      1. Winner Spot #1: Entrant A = 20,000 points
      2. Winner Spot #2: Entrant B = 20,000 points
      3. Winner Spot #3: Entrant C = 15,000 points
      4. Winner Spot #4: Entrant D = 10,000 points
      5. Winner Spot #5: Entrant E = 5,000 points; Entrant F = 5,000 points; and Winner G = 5,000 points

      then the total amount of points earned by the entrants in the Winner Spots would be 80,000 points, and each winner would receive their proportional amount of the non-Kicker portion of the prize as set forth below and as determined by the product of (A) the points earned by the entrant divided by the total number of points earned by all entrants in the Winner Spots, and (B) the non-Kicker portion of the prize.

      1. Entrant A = (20,000/80,000)*800 = $200.00
      2. Entrant B = (20,000/80,000)*800 = $200.00
      3. Entrant C = (15,000/80,000)*800 = $150.00
      4. Entrant D = (10,000/80,000)*800 = $100.00
      5. Entrant E = (5,000/80,000)*800 = $50.00
      6. Entrant F = (5,000/80,000)*800 = $50.00
      7. Entrant G = (5,000/80,000)*800 = $50.00

      In addition, Entrants A and B who tied for the total cumulative point total comprising Winner Spot #1 would split the Kicker such that Entrants A and B would each receive an additional $100 and the total amount of the prize won by Entrants A and B would be as set forth below.

    During the applicable Daily Challenge Period, points shall be assigned to entrants as follows:

    1.       1. Winner Spot #1: Entrant A = 20,000 points
      2. Winner Spot #2: Entrant B = 20,000 points
      3. Winner Spot #3: Entrant C = 15,000 points
      4. Winner Spot #4: Entrant D = 10,000 points
      5. Winner Spot #5: Entrant E = 5,000 points; Entrant F = 5,000 points; and Winner G = 5,000 points

      For a Daily Challenge with a cash prize pool, if the Daily Challenge offers a “Jackpot Prize”, the “Jackpot Prize” will be awarded to any entrant who answers all questions in the Daily Challenge correctly.       then the total amount of points earned by the entrants in the Winner Spots would be 80,000 points, and each winner would receive their proportional amount of the non-Kicker portion of the prize as set forth below and as determined by the product of (A) the points earned by the entrant divided by the total number of points earned by all entrants in the Winner Spots, and (B) the non-Kicker portion of the prize.

      1. Entrant A = (20,000/80,000)*800 = $200.00

Entrants A and B who tied for the total cumulative point total comprising Winner Spot #1 would split the cash prize such that Entrants A and B would each receive half of the prize. For avoidance of doubt and as an example, if the total prize is $500, the prize won by Entrants A and B would be as set forth below.

      1. Entrant A: $250
      2. Entrant B: $250

    Exhibit C

    Determination of Correct Answers for Fantasy Football Questions

    When a Challenge question refers to fantasy football scores earned by athletes participating in a football game, the correct answer to that question shall be determined by the total fantasy football scores earned by applicable athletes during the applicable game. Athletes shall accumulate fantasy points according to the following system:

    1. For quarterbacks, running backs, wide receivers, and tight ends:

      Rushing or receiving touchdown6 points
